Terms & Conditions.
- Service Agreement
This service is provided on a monthly retainer basis at RM5,500 per month and is subject to a minimum engagement period of six (6) months.
The monthly retainer includes only the services specified in the proposal or service agreement. Any additional work requested outside the agreed scope will be quoted separately. - Scope of Services
The monthly retainer includes:
– Up to 2 website updates per month
– Website maintenance and technical support
– Malware monitoring, protection, and clean-up
– Keyword and meta tag submission
– Sitemap generation and submission
– Up to 8 design/social media requests per month
– One-page brochure or promotional material designs
– Custom graphics where applicable
– Unlimited image sourcing for approved projects
– Email marketing setup and weekly email campaigns using content supplied by the Client
– One monthly strategy meeting
– Phone and email consultation support
Unused design requests, website updates, meetings, or other monthly allocations cannot be carried forward to subsequent months. - Client Responsibilities
The Client shall provide all necessary materials required to complete the requested work, including but not limited to:
– Text and written content
– Images and photographs
– Logos and branding assets
– Programme or event information
– Newsletters
– Email recipient lists
– Marketing materials
– Approvals and feedback
Delays in providing the required materials, approvals, or information may result in delays in the delivery of services. Nivmas shall not be held responsible for any delay arising from incomplete or late submissions by the Client. - Turnaround Time
Website maintenance requests are generally completed within 4 to 5 working days from receipt of all required materials and approvals.
Complex requests, multiple revisions, or requests exceeding the monthly allocation may require additional time.
Urgent requests may be accommodated subject to availability and will incur an expedited service fee of 30% of the applicable project value. - Revisions
Reasonable revisions are included within the agreed scope of each request.
Additional revisions, redesigns, or changes requested after a design or project has been approved or finalised may incur additional charges.
Requests that significantly alter the original brief shall be treated as a new project and quoted separately. - Out-of-Scope Work
The following services are not included unless otherwise stated:
– Website redesigns
– New website development
– Additional webpages beyond standard updates
– Custom web applications
– Copywriting services
– Photography or videography
– Printing services
– Paid advertising management
– SEO campaigns beyond routine maintenance
– Third-party software licensing fees
– Content creation not specified in the service agreement
Such requests will be quoted separately. - Monthly Meetings
The package includes one (1) strategy meeting per month, either in person, by phone, or via an online meeting platform.
Additional meetings requested beyond the monthly allocation may be chargeable. - Payment Terms
The monthly retainer fee of RM5,500 shall be paid in advance prior to the commencement of each service period.
Payments shall be made according to the agreed billing cycle.
Failure to make payment by the due date may result in suspension of services until payment has been received. - Contract Period
A minimum contract period of six (6) months applies.
Early termination by the Client before completion of the minimum contract period may result in the remaining contract value becoming immediately payable unless otherwise agreed in writing by Nivmas. - Intellectual Property
All intellectual property belonging to the Client, including logos, trademarks, and supplied materials, shall remain the property of the Client.
Upon full payment, all final approved designs produced specifically for the Client become the property of the Client unless otherwise agreed.
Nivmas reserves the right to showcase completed work, designs, and website projects in its portfolio, marketing materials, presentations, and promotional activities. - Limitation of Liability
Nivmas shall not be liable for any indirect, incidental, consequential, or economic loss, including but not limited to loss of profit, business interruption, loss of goodwill, loss of data, or any consequential damages arising out of or in connection with the services provided.
Nivmas shall also not be responsible for downtime, interruptions, or losses caused by third-party hosting providers, software vendors, internet service providers, cyberattacks, or circumstances beyond its reasonable control. - Cancellation
All payments made are strictly non-refundable.
Cancellation requests must be submitted in writing.
Any cancellation made within the minimum six (6) month contract period shall be subject to management approval and may incur applicable charges. - Amendments
Nivmas reserves the right to revise, amend, or update these Terms & Conditions at any time without prior notice. The latest version shall supersede all previous versions. - Acceptance
Commencement of work or payment of any invoice shall constitute acceptance of these Terms & Conditions.
